1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “Customer”) and Chatvox (“we,” “us,” or “our”) governing your access to and use of the Chatvox platform, website, APIs, and related services (collectively, the “Service”).

By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Chatvox is an AI-powered chat agent platform that enables you to:

  • Create and customize intelligent chat agents
  • Train agents with your own knowledge base content
  • Deploy agents on your websites and applications via embed scripts, iframes, or hosted URLs
  • Manage teams with role-based access controls
  • Monitor conversations and agent performance through analytics
  • Integrate with third-party AI models and services

3. Account Registration

3.1 Eligibility

You must be at least 16 years old and able to form a binding contract to use the Service. By creating an account, you represent that you meet these requirements.

3.2 Account Responsibilities

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must provide accurate and complete registration information.
  • You must promptly notify us of any unauthorized use of your account.

3.3 Teams

Chatvox allows you to create and manage teams. As a team owner, you are responsible for the actions of all team members and the content created within your team.

4. Subscriptions and Billing

4.1 Plans and Pricing

The Service is offered under various subscription plans with different feature sets, credit allocations, and pricing. Current plan details are available on our pricing page.

4.2 Credits

  • Your subscription includes a monthly allocation of AI response credits.
  • Credits are consumed when your chat agents generate responses.
  • Different AI models may consume credits at different rates.
  • Unused monthly credits do not roll over and reset at the start of each billing cycle.
  • Additional credits may be purchased as add-ons. Purchased add-on credits do roll over until used.

4.3 Billing

  • Subscriptions are billed in advance on a monthly or annual basis.
  • All payments are processed securely through Stripe.
  • You authorize us to charge your payment method for recurring subscription fees.
  • Prices are exclusive of taxes unless otherwise stated.

4.4 Cancellation and Refunds

  • You may cancel your subscription at any time through your account settings.
  • Cancellation takes effect at the end of the current billing period.
  • We do not provide prorated refunds for partial billing periods.
  • Upon cancellation, your account will revert to the Free plan or be deactivated, and your data will be retained for 30 days before deletion.

4.5 Plan Changes

  • You may upgrade or downgrade your plan at any time.
  • Upgrades take effect immediately; downgrades take effect at the next billing cycle.
  • We reserve the right to modify pricing with 30 days’ prior notice.

5. Acceptable Use

5.1 You Agree To

  • Use the Service in compliance with all applicable laws and regulations.
  • Ensure your chat agents provide accurate and non-misleading information.
  • Respect the intellectual property rights of others.
  • Comply with AI usage guidelines and content policies of third-party providers.

5.2 You Agree Not To

  • Use the Service for any unlawful, harmful, or fraudulent purpose.
  • Deploy chat agents that impersonate real individuals without consent.
  • Use agents to generate or distribute spam, malware, or phishing content.
  • Attempt to reverse-engineer, decompile, or extract the source code of the Service.
  • Circumvent usage limits, rate limits, or security measures.
  • Interfere with or disrupt the Service or other users’ access.
  • Use the Service to collect sensitive personal data (e.g., medical, financial, or government ID information) without appropriate legal basis and safeguards.
  • Resell, sublicense, or redistribute the Service without our prior written consent.
  • Upload knowledge base content that infringes third-party copyrights or intellectual property.

5.3 Enforcement

We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice, depending on the severity of the violation.

6. Intellectual Property

6.1 Our Property

The Service, including its code, design, features, documentation, and branding, is owned by Chatvox and protected by intellectual property laws. These Terms do not grant you any ownership rights.

6.2 Your Content

You retain ownership of all content you upload, create, or configure within the Service, including knowledge base materials, agent configurations, custom instructions, and branding assets. By using the Service, you grant us a limited, non-exclusive license to host, process, and display your content solely for the purpose of providing the Service.

6.3 Conversation Data

  • Conversations between your end users and your agents are your content.
  • We do not use your conversation data to train AI models.
  • We may use anonymized, aggregated data for Service improvement.

6.4 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation or compensation.

7. Third-Party Services

7.1 AI Providers

The Service integrates with third-party AI providers (such as OpenAI) to generate chat agent responses. Your use of the Service is also subject to the terms and policies of these providers. We are not responsible for the accuracy, reliability, or availability of third-party AI models.

7.2 Payment Processing

Payment processing is handled by Stripe. Your use of Stripe is governed by the Stripe Services Agreement.

7.3 Integrations

The Service may integrate with third-party platforms. Your use of these integrations is subject to the respective third-party terms.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you acknowledge and agree to our data practices as described therein.

9. Disclaimers

9.1 “As Is” Provision

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 AI-Generated Content

AI-generated responses may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing and validating agent behavior. We do not guarantee the accuracy or suitability of any AI-generated content.

9.3 Availability

We do not guarantee uninterrupted or error-free operation of the Service. We may perform maintenance, updates, or modifications that temporarily affect availability.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
  • WE SHALL NOT BE LIABLE FOR DAMAGES ARISING FROM AI-GENERATED CONTENT, THIRD-PARTY SERVICE FAILURES, OR UNAUTHORIZED ACCESS DUE TO YOUR FAILURE TO MAINTAIN ACCOUNT SECURITY.

11. Indemnification

You agree to indemnify, defend, and hold harmless Chatvox and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Service, content you create or deploy through the Service, your violation of these Terms, or end user interactions with your deployed chat agents.

12. Termination

12.1 By You

You may stop using the Service and delete your account at any time.

12.2 By Us

We may suspend or terminate your access to the Service if you violate these Terms, fail to pay subscription fees, use the Service in a manner that poses a security risk or legal liability, or become subject to legal proceedings that affect your ability to use the Service.

12.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. Your data will be retained for 30 days to allow for export, after which it will be permanently deleted. Sections 6, 9, 10, 11, and 13 survive termination.

13. General Provisions

13.1 Governing Law

These Terms are governed by the laws of the State of Wisconsin, without regard to conflict of law principles.

13.2 Dispute Resolution

Any disputes arising from these Terms shall first be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in English.

13.3 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Chatvox regarding the Service.

13.4 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.

13.5 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

13.6 Assignment

You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.

13.7 Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the revised Terms and updating the “Last Updated” date. Continued use after changes constitutes acceptance.
